Terms of service

Version 2026-10-31, in force from 31 October 2026.

Also relevant: the privacy policy, the withdrawal notice for the visitor Pass, the Pass cancellation page and the Impressum.

Part A — General

1. Who we are, what these terms cover

1.1 These terms apply to the use of Locklay, provided by [provider name], [postal address] (“Locklay”, “we”, “us”). Contact for users, authorities and notices: [contact email]. Full provider details are in the Impressum.

1.2 Locklay is an online platform. A creator places a link behind one or more steps. A visitor who opens the link completes the steps, usually a task sponsored by an advertiser or an advertising network, and is then forwarded to the destination. We operate the platform that connects them; we are not a party to the dealings between a creator and the people who open their links, or between a visitor and a sponsor.

1.3 In these terms, a business user is a user who acts in the exercise of a trade, business or profession (an Unternehmer within the meaning of § 14 BGB); a consumer is a natural person who acts for purposes that are predominantly outside such activity (§ 13 BGB). Content means everything a user provides or makes reachable through Locklay: link destinations, titles and descriptions, images and themes, step addresses and passwords, campaigns and creatives, reports and messages. Pass means the paid visitor product in section 10.

1.4 Part A applies to everyone. Part B applies to creators, Part C to advertisers, Part D to visitors and Pass buyers, Part E to all content, and Part F to termination, liability and general matters. Where a specific part and a general rule differ, the specific part prevails.

1.5 Only these terms apply. General terms of a user that conflict with them do not apply, even if we do not object to them expressly. The contract language is English.

2. Accounts and contract formation

2.1 Visitors need no account. Opening a link and completing its steps is free of charge and is subject to section 9. The Pass is a separate paid contract (section 10).

2.2 Creator and advertiser accounts are offered to adults (18 or older) who act as business users. By registering you confirm that you are at least 18 and that you use the creator and advertiser functions for commercial or self-employed purposes. If that is not true for you, tell us before you use them; the parts of these terms that are mandatory for consumers then apply to you regardless of anything stated here for business users.

2.3 How the contract is made. Your registration is an offer to conclude a contract for the use of Locklay. The contract comes into being when we confirm your email address and activate the account. We may decline a registration for good cause, for example if the data given is evidently false, if the person was previously excluded for a serious breach, or if we are legally prevented from serving them. By registering you accept these terms and acknowledge the privacy policy; we store which version you accepted and when.

2.4 Correct data, one account. The details you give must be accurate and kept up to date. One person or business may not run several accounts to avoid a limit, a review or a measure we have taken. Accounts are personal and may not be transferred or sold.

2.5 Security. You are responsible for your credentials, API keys and webhook secrets and for what is done with them, unless you are not responsible for the misuse. Tell us without delay if you suspect a compromise. We recommend two-factor authentication. We may block credentials we have reason to think are compromised.

2.6 Support access. Our staff may open your account as you see it, only to resolve something you raised or to investigate a suspected breach of these terms. Such a session is recorded and cannot move money or change credentials.

3. The service

3.1 What we provide. The platform to create links with steps, to show them to visitors, to verify that steps were completed, to account for earnings and spend, and the dashboard, API and webhooks that go with it. Which features a creator plan includes (number of links, themes, domains, tools) is shown on the pricing page and in the dashboard.

3.2 Availability. We aim for continuous availability but do not owe it. Maintenance, security measures, faults of providers and events outside our control can interrupt the service. We announce planned maintenance that is likely to be noticed in good time where we can.

3.3 Changes to the service. We may develop, change and replace features. We will not reduce the features of a paid plan to your disadvantage during the period you have paid for, unless that is required by law or by a security risk; if we reduce them in a way that matters to you for a later period, section 18 applies.

3.4 How sponsored tasks are chosen. When a visitor needs a task, we choose among the campaigns that are active and approved, whose advertiser has balance and budget left, that match the visitor’s country and device where the advertiser set targets, and that have not reached the frequency limit for that visitor. Among those, campaigns are ranked by the value they are expected to generate: the advertiser’s bid multiplied by the campaign’s observed completion rate; a campaign with little history is ranked by its bid. A creator cannot pay for, or otherwise obtain, a different choice for their links, and a creator’s revenue share does not influence which task is shown. Display advertising from an ad network is used only if it is switched on and no suitable campaign is available.

3.5 The Pass and creators. A visitor with a Pass does not see tasks, so a creator earns no task earnings from that unlock. Where a visitor buys a Pass through a creator’s locker, the creator may receive a commission under the referral programme (section 6.6). The Pass is our own product and is sold in competition with the sponsored task as a way through a locker; we do not otherwise treat our own offers differently from others’.

3.6 Data you get. Creators see aggregate statistics about their links (visits, completions, countries and device classes, earnings). They do not receive visitors’ IP addresses, identities or individual visit records, and may not try to obtain them. Advertisers see results of their campaigns (impressions, clicks, conversions, spend). Webhooks carry events about the sender’s own account and no visitor data.

4. Fees, plans and payment

4.1 Using Locklay as a visitor, and the free creator plan, cost nothing. Paid creator plans and the Pass are charged at the price and interval shown when you buy. A plan can start with a trial. A trial is either free or has a one-time trial price that is charged when you buy (for example a small amount for the first days). The length of the trial, the trial price if there is one, the regular price that applies after the trial and the interval are shown when you buy, together with what is charged on the day you buy. A trial is offered once per person and once per payment card; if you have subscribed before, there is no trial and no trial price, the plan is charged at its regular price from the start, and this is shown when you buy. Whether a card has been used before can only be seen after you have entered it: if a trial is started with a card that has already been used for a Locklay subscription, we end that subscription straight away, refund in full what was charged for it and tell you by email; you can then subscribe at the regular price. Payment is processed by Stripe; card data is never sent to us.

4.2 Paid plans renew automatically for the same interval until they are cancelled; a weekly plan renews every week. If a plan starts with a trial, the trial price, if there is one, is charged when you buy, and the first payment of the regular price is taken automatically from the payment method you gave at checkout when the trial ends, without any further step on your part, unless you have cancelled before then. If you cancel during the trial, the plan ends when the trial ends and the regular price is not charged; a trial price that has been paid is not refunded, except on withdrawal under 10.5 or where the law requires it. You can cancel at any time in the dashboard (billing portal) with effect at the end of the paid period; paid features remain until then. Fees already paid for a started period are not refunded, except where the law requires it or where we end the contract without good cause on your side.

4.3 Prices for business users are net of VAT unless stated otherwise; VAT is added where it is due. A business user in another EU country who gives a valid VAT ID may be invoiced without VAT under the reverse-charge rules. Prices shown to consumers include VAT. Invoices are provided electronically.

4.4 If a payment fails, we may retry it through Stripe and may restrict paid features until it is paid. A chargeback or a payment that is later reversed obliges you to bear the costs it causes us.

4.5 We may change prices of a running subscription only with notice of at least 30 days before the next period begins. You may cancel before the new price applies. Section 18 applies to other changes.

Part B — Creators

6. Earnings

6.1 When earnings arise. When a visitor completes a sponsored task on your link and we validate the completion, and the advertiser or network pays for it or confirms the conversion, your account is credited with your share of that payment. Your share, which may differ by user and over time, is shown in your dashboard. A change of the share applies only to completions after it takes effect; we announce a reduction in the dashboard or by email at least 30 days before.

6.2 Holding period. Earnings do not become available at once. Because sponsored conversions are confirmed by third parties and can be reversed, they are held for a period that is set by us and shown in your dashboard (currently 7 days, longer for earnings from newly registered advertisers; referral commissions are held longer, currently 60 days). Held amounts are shown separately from available ones.

6.3 Valid traffic only. Earnings arise only from genuine completions by real people with real interest. Completions produced by bots or scripts, proxy or VPN farms, paid or incentivised clicks, self-completion, mislabelled or deceptive links, or any other means that do not reflect real interest are not earnings, whatever the dashboard showed at the time.

6.4 Reversals. We may reverse earnings (a) the advertiser or network reverses, refuses or claws back, (b) that came from invalid traffic as described in 6.3, or (c) that are funded by a payment that was refunded or charged back. Reversals for reasons (a) and (c) are made within 180 days after the credit; reversals for fraud or invalid traffic are not time-limited. We tell you what was reversed and why. If a reversal exceeds your available balance, the difference is set off against later earnings, and you owe it to us if your account ends first.

6.5 Statements. The dashboard is the statement of your balance. Tell us within 30 days if you believe an entry is wrong; we check it and correct errors. Your statutory rights remain.

6.6 Referral programme. Where we offer one, a creator who brings a visitor to buy a Pass or a plan receives the commission shown in the dashboard. It is credited only for payments we have actually received and not refunded, is held as in 6.2, and is reversed if the payment is. Referring yourself, or accounts you control, is not permitted.

7. Payouts

7.1 Request. You can request a payout once your available balance reaches the minimum of the method you choose. Methods, minimums and the single currency in which balances are kept are shown on the payouts page. There is no currency conversion. The amount is deducted from your balance when you request it and returned if the request is refused, fails or is cancelled.

7.2 Manual review. Every payout request is reviewed by a person before it is paid. We may ask you to prove your identity, your business, the ownership of the payout account, or your tax status first. We normally decide within 14 days. After approval, the payout is sent by the method chosen; the time it then takes depends on the provider.

7.3 When we may refuse or withhold. Only for good reason: suspected invalid traffic or fraud connected to the amount; a legal obligation (sanctions, anti-money-laundering, tax); payout details that are incomplete or cannot be verified; or an unresolved claim of ours against you, such as a reversal under 6.4. We tell you the reason. Amounts not affected are paid.

7.4 Payout details. You are responsible for the details you give. A payment sent to the details you entered is performed even if they were wrong; we will help to recover it but do not guarantee success. Fees charged by the payout provider may be deducted where the payouts page says so.

7.5 Taxes. You are responsible for the taxes on what you earn. We may deduct or report taxes where the law requires, and you must give us the information we need for that (for example name, address, tax or VAT number) before a payout; without it, we may hold the payout until you do.

7.6 Nature of the balance. Your balance records what we owe you under these terms. It is not a deposit or an e-money account, earns no interest, and cannot be transferred to others. Your claim to it is not lost by inactivity; we may contact you about a long-dormant balance and will not charge a fee for holding it.

Part C — Advertisers

8. Campaigns, deposits and results

8.1 Access and review. Advertiser access may require approval, which we may refuse for good cause. Each campaign is reviewed before it runs. Approval is a check against these terms and not a legal assessment of your offer; it does not make us the author of your content or a guarantor of it. We may reject, pause or remove a campaign, its destination or creative at any time for the reasons in Part E, and tell you why.

8.2 Your responsibility. You are responsible for your destinations, offers, tracking and targeting, and for their lawfulness, including advertising, consumer-protection, price-indication and data-protection law. You must not target people in a way that is unlawful, or run offers that are harmful or misleading.

8.3 Deposits. You fund your account in advance, by card or the other methods offered through Stripe. A deposit is a prepayment for results you order; spend is deducted as results occur, at the price you set for each campaign. The balance is not a bank deposit, earns no interest and cannot be transferred. You may set daily and total budgets; we stop serving a campaign whose budget or balance is used up.

8.4 Results and conversions. Impressions and clicks are counted by us. Conversions are counted from the postbacks that your own systems or your network send, or as agreed. You must send accurate postbacks only, and keep the credentials you use secret. A conversion that you or your network did not confirm is not charged. We charge for results that we validated and that fit your targeting and budget.

8.5 Disputes and invalid results. Tell us within 30 days after an event if you believe a charged result is invalid. We check it and credit back results we confirm as invalid; we may also credit back on our own. Results that were reversed by a network, or caused by a fault on our side, are not charged.

8.6 Refund of unspent balance. You can ask for the unspent balance back at any time. We return it to the payment method it came from within 30 days, less fees of the payment provider that we cannot recover, and less amounts that are still open: pending chargebacks, results under dispute, or damages we claim for a breach. A refund is not possible while a chargeback or an investigation concerning the deposit is pending.

8.7 Chargebacks. If a deposit is charged back or reversed, we reverse the spend and earnings financed by it, you owe us the resulting amounts and costs, and we may suspend the account until they are settled.

8.8 No guarantee. We do not guarantee volumes, completion rates, conversions, or that a campaign is shown to a particular audience.

8.9 Taxes. Section 4.3 applies. Amounts are invoiced electronically.

Part D — Visitors and the Pass

9. Opening a link

9.1 Opening a link means you will be asked to complete one or more steps. The sponsored tasks are advertising and are shown as such.

9.2 Completing a step does not make us responsible for the destination or for a sponsor’s page: they are chosen and run by creators, advertisers and third parties with their own terms. What you do on their pages is between you and them.

9.3 Do not use bots, scripts or other means to complete steps, and do not try to bypass, defeat or probe the gate, the CAPTCHA, the limits or the verification. We may block anyone who does.

9.4 How we process data about visitors is described in the privacy policy.

10. The Pass

10.1 What it is. The Pass is a paid subscription for visitors. While it is active, a device on which you have claimed it clears the sponsored task and the CAPTCHA on Locklay links. It does not clear a password step that a creator has set, and a creator’s step that asks you to open an address is skipped.

10.2 Contract and price. The contract is concluded when you complete the checkout with Stripe and we confirm the purchase. The price, the billing interval and whether it includes VAT are shown at checkout. The Pass renews automatically for the same interval until you cancel. Where the Pass starts with a trial, the checkout shows what is charged today (nothing for a free trial, otherwise the trial price), when the trial ends and the regular price that follows. The trial price, if there is one, is charged when you complete the checkout; the first payment of the regular price is taken automatically when the trial ends unless you have cancelled before then, and we remind you by email about a day before the trial ends.

10.3 Claiming and devices. You ask for a code by email and enter it on the device; a code works once and for 15 minutes. The device then stays cleared while the Pass is active: each time you open a Locklay link with it, its clearance is extended, up to 8 days ahead, but never more than 48 hours beyond the end of the period you have paid for (or of your trial), which covers the time a renewal payment takes. A device that has not been used for more than 8 days stops being cleared; if you use it again within 28 days while the Pass is still active, and no more than two other devices are cleared, it is cleared again without a new code, otherwise you claim it again with a code. A Pass can be used on up to three devices at a time; claiming a fourth ends the oldest. When the Pass ends, no device is cleared any more. If you have added the Pass to a Locklay account, it also works on a device where you are signed in to that account.

10.4 Fair use. To keep the Pass from being resold as an unlock service, a Pass can clear a limited number of links per period (currently 300 in 48 hours and 20 in an hour). Beyond that, the ordinary gate applies until the period has passed. The Pass is for your own use; sharing, reselling or automating it ends it.

10.5 Right of withdrawal for consumers. If you are a consumer, you have a right to withdraw from the Pass contract within 14 days without giving reasons. The withdrawal notice explains how and what follows, and has a model form. At checkout you are asked to confirm that the Pass should start immediately and that you understand that, if you withdraw after it has started, you pay for what has been provided until then. What is provided during a free trial is free of charge. Where the trial has a trial price, the trial price is the price of the trial period and is counted in the same way: if you withdraw during the trial, you pay the share of the trial price for the days that have passed and we refund the rest; if you withdraw after the trial, the trial price is not refunded and the part of the current billing period that has passed is counted as set out in the withdrawal notice.

10.6 Cancelling. You can cancel the Pass at any time, effective at the end of the paid period (during a trial: at the end of the trial; the regular price is then never charged, and a trial price already paid is not refunded), without an account or a login: use the cancellation page and confirm with the code we send to the address you paid with. If we cannot send codes at that moment, the cancellation page says so, and you can cancel by email to the address given in the Impressum, from the address you paid with; the cancellation takes effect when your message reaches us, and we confirm it by reply. Immediately after you confirm, we send you a confirmation with the time of your declaration and the date the contract ends. If you have an account, you can also cancel in the billing portal. The Pass stops working when the paid period ends; no further payments are taken.

10.7 Price changes. We change the price of a running Pass only with at least 30 days’ notice before the next period begins, and you can cancel before it applies.

10.8 Refunds. Fees for a period that has begun are not refunded, except where the law requires, on withdrawal under 10.5, or where we terminate without good cause. Statutory rights for defects in digital products (§§ 327 ff. BGB and equivalent rules) are not affected.

10.9 Technical requirements. A current browser, cookies enabled for Locklay, and access to the email address used for the purchase.

Part E — Content and enforcement

11. Prohibited content and conduct

11.1 You may not use Locklay to link to, host, promote or enable:

  • malware, harmful downloads, or anything that attacks a device, a network or an account;
  • phishing, fake sign-in pages, impersonation of people, brands or services;
  • scams, fraud, deceptive offers, fake reviews, or misleading claims about what is behind a link;
  • content that is illegal where it is shared or where the visitor is, including child sexual abuse material, content that glorifies violence or terrorism, incitement to hatred, and content that violates personal rights;
  • pornographic or otherwise sexually explicit content, and content that may harm minors and is not lawfully protected from them;
  • material that infringes copyright, trademark, design, personality or other rights, and counterfeit goods;
  • illegal gambling, illegal drugs and weapons, and the unlawful sale of regulated goods or services;
  • spam, or links distributed through spam, hidden redirects or other deceptive means;
  • content or offers that violate sanctions or export rules.

11.2 You also may not: probe, scrape or load the service in a way that degrades it; evade limits, blocks or measures; interfere with the visitor flow, the verification of tasks or other users’ accounts; generate traffic or conversions artificially (section 6.3); use the API or keys for anything other than your own account and links; chain links through Locklay to hide a destination.

11.3 We do not monitor all content in advance and are not obliged to look for illegal content. Section 12 explains what we do when we learn of it.

12. Reports, measures and complaints

12.1 Reporting. Anyone can report a link or other content with the “Report this link” button on the locker page or by email to [contact email]. A notice should explain why the content is illegal or breaks these terms; give the exact address or short code of the link; give the sender’s name (optional for some offences) and an email address; and state that the notice is accurate and made in good faith. For infringements of intellectual property it should also identify the work and say that the sender is the rightholder or authorised to act for them. We confirm receipt by email and tell the sender what we decided and how they can contest it. Notices that lack the information needed to assess them may take longer.

12.2 What we do. We assess notices and other indications diligently, objectively and without undue delay. Where content is illegal or breaks these terms, we may, depending on the case: disable or remove a link; reduce its visibility; withhold or reverse earnings that stem from the breach; restrict, suspend or close the account; and pass information to authorities or affected parties where the law allows or requires it. We act without prior notice where the risk is serious or time-critical.

12.3 Reasons. If we take a measure because of content, we tell the affected user, at the latest when it takes effect, what we did (and for how long), the facts and circumstances relied on, the legal or contractual ground, whether automated means were used, and how to contest the decision (12.4). We do not have to give reasons where a legal duty or an authority’s order prevents it, or where it would endanger an investigation or other people.

12.4 Objecting. The affected user can contest a measure within six months by replying to our message or writing to [contact email] with their reasons. Their objection is looked at by someone who was not involved in the first decision, and we decide without undue delay and tell them the result with reasons. If the notice or measure turns out to have been unfounded, we reverse it, restore the link and, where earnings were withheld because of it, release them. Business users can use the same route for other complaints about our service, payouts or the application of these terms, and receive a reasoned answer, normally within 14 days. Independently of this, the user may go to a court or, where available, to an out-of-court dispute-settlement body.

12.5 Misuse. We may suspend the handling of notices and objections from someone who repeatedly submits manifestly unfounded ones, after a warning. A notice sent in bad faith or knowingly false can itself lead to measures against the sender.

12.6 Point of contact. Authorities of the Member States, the European Commission and the European Board for Digital Services can reach us for questions about our services at [contact email]. So can users, for direct and fast communication. We answer in English.

13. Rights in content

13.1 You keep the rights in your content. You grant us a non-exclusive, worldwide, royalty-free right to store, display, transmit and process it as far as needed to provide Locklay and for as long as it is on the platform, including in backups for the usual period afterwards. The right ends when the content is removed, except for the copies necessary for legal retention and backups.

13.2 You confirm that you have all rights needed for your content and that it does not infringe the rights of others. Locklay’s software, names, logos and design are ours or our licensors’. You get no right to them except to use the service as intended.

13.3 If you send us suggestions about the service, we may use them without obligation to you.

13.4 Content belongs to the people who provide it. Destinations, titles, descriptions, images, themes, step addresses, campaigns and creatives come from creators and advertisers, and the pages a link leads to are run by third parties. We provide the technical means to publish and open them. We do not select or approve them in advance (campaigns are checked under 8.1, which does not make us their author), and we do not adopt or endorse them as our own. That something can be reached through Locklay is not a statement by us that it is lawful, accurate, safe or suitable.

Part F — Termination, liability, general

14. Termination, suspension and closing accounts

14.1 By you. You can stop using Locklay and close your account at any time in the account settings, or ask us to. Paid plans and the Pass end as described in sections 4.2 and 10.6.

14.2 By us, ordinary. We may end the contract of a free account, or of a paid plan at the end of its period, with 30 days’ notice. For paid plans, fees for the period after the end are not charged or are refunded.

14.3 By us, for good cause. Either side may end the contract without notice for good cause. For us that includes a serious or repeated breach of Part B, C or E, fraud or invalid traffic, a legal obligation, and risk to other users or to the service.

14.4 Restriction and suspension. We may restrict or suspend an account or its functions (for example payouts, new links or API access) where there is reason to believe a breach has occurred, while we check it, or where the law requires. We tell the user the reasons at the latest when it takes effect, and the user can contest it under 12.4, except where the law forbids us to or where the breach is serious and immediate action is needed to protect others. If a business user’s account is restricted, suspended or ended, we give a statement of reasons before the end takes effect, or immediately after if that was impossible.

14.5 Consequences. Links are disabled when the account ends. Before closing, and where we are not prevented from it, the user can export their data from the settings. A balance that is not affected by a reversal, withheld amount or open claim under 6.4 and 7.3 is paid out under section 7; earnings that arose from a breach are not owed. Data is deleted as described in the privacy policy. Provisions that are meant to survive (payment, reversals, liability, indemnity, governing law) do.

15. Warranty and liability

15.1 Unlimited liability. We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, to the extent we gave a guarantee, for fraudulently concealed defects, and wherever liability cannot be excluded or limited by law.

15.2 Essential obligations. For a slightly negligent breach of an obligation that is essential to the contract (one whose performance makes proper execution of the contract possible and on which the user may regularly rely), our liability is limited to the damage that was foreseeable and typical for a contract of this kind.

15.3 Otherwise. For a slightly negligent breach of any other obligation we are not liable.

15.4 Business users. Our liability under 15.2 is limited, for all damaging events in one calendar year together, to the higher of (a) the fees you paid us plus the earnings credited to you in the twelve months before the first event and (b) EUR 2,500. We are not liable to business users for lost profit or indirect damage under 15.2. Claims of business users for damages expire twelve months after they arose and the user knew, or without gross negligence should have known, of the circumstances; this does not apply to the cases in 15.1.

15.5 Data. Where we are liable for the loss of data, we are liable only for the effort that restoring it from backups would have cost if you had made regular backups; the export function in the settings is available for that.

15.6 Content of others. To the extent the law allows, we are not responsible for content of creators, advertisers and third parties, for destinations and sponsor pages, or for what users do or offer through them. Our responsibility for content we store for others begins when we have actual knowledge of its illegality and ends once we have removed or disabled it without undue delay. There is no general duty to monitor.

15.7 Results. We do not promise any number of visitors, completions, conversions or earnings, or that statistics are free of error.

15.8 Consumers. Rights that a consumer has by mandatory law, including for defects in digital products and under 10.8, are not limited by this section. Sections 15.4 to 15.6 apply to consumers only to the extent the law allows. The limits in this section apply equally to our employees and agents.

16. Responsibility and indemnity of business users

16.1 Creators and advertisers are responsible to us and to third parties for their links, destinations, step addresses, campaigns, creatives and offers.

16.2 If you are a business user and a third party, an authority or another user makes a claim against us because of your content or conduct (for example for infringement of rights, unfair competition, misleading advertising or unlawful content), you will indemnify us against it, including the reasonable cost of defending ourselves, provided we tell you without delay, let you take part in the defence where the law allows, and do not settle without your consent, which you may not withhold unreasonably. This does not apply to the extent the claim arises from our own breach of duty.

17. Data protection

17.1 We process personal data as described in the privacy policy. Creators and advertisers receive no personal data of visitors from us. If you nevertheless come to hold personal data from the platform, you process it on your own responsibility and only as the law allows.

17.2 If a feature is added in which we or you process personal data for the other, we will agree the necessary terms first.

18. Changes to these terms

18.1 We may change these terms for a good reason: a change of law or case law; a new or changed feature or payment method; security or abuse prevention; correcting errors or unclear wording; or a change of the market that affects costs. A change may not upset the balance between our obligations and yours to your detriment.

18.2 We notify account holders by email at least 30 days before a change takes effect, with the changed text and the date. Business users have the right to cancel their contract without cost before then, and can agree to shorter notice by an explicit statement.

18.3 Business users. If you do not object before the date, the new terms apply from then. The notice tells you this consequence and your right to object or cancel.

18.4 Consumers and Pass buyers. A change that affects the price or the main performance applies only if you agree. If you do not, the contract continues under the old terms, and we may end it with 30 days’ notice. Other changes follow 18.2 and 18.3.

18.5 We may change terms without notice where the law requires it or where it only benefits users. Changes required to tackle fraud or imminent harm may take effect sooner, with notice as soon as possible.

19. Notices, set-off, transfer

19.1 We send notices by email to the address of the account, or in the dashboard. Keep it current. You can reach us at [contact email]. Information that must be given to consumers on a durable medium is sent by email.

19.2 Users may set off only claims that are undisputed or finally determined, and may exercise a right of retention only on the basis of the same contract. We may set off reversals and other claims against earnings.

19.3 We may transfer the contract to a company that takes over the service, if the user is not worse off; the user is notified and may cancel. Users may not transfer their rights and obligations without our consent.

20. Disputes with consumers

20.1 We are neither willing nor obliged to take part in dispute settlement proceedings before a consumer arbitration board (§ 36 VSBG).

20.2 The right of a consumer to go to court, and complaint rights against authorities, are not affected.

21. Governing law and jurisdiction

21.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods and its conflict-of-law rules. For consumers this applies only to the extent it does not remove the protection of the mandatory provisions of the law of the state in which the consumer has their habitual residence.

21.2 If you are a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes is the seat of the provider. For consumers, the statutory places of jurisdiction apply.

22. Final provisions

22.1 If a provision is or becomes invalid, the rest remains in force, and the statutory rule takes the place of the invalid one (§ 306 BGB). Where an invalid provision restricts users’ rights, it applies to the extent the law allows.

22.2 Not exercising a right is not a waiver of it. These terms and the documents they name are the whole agreement on their subject; side agreements need to be in text form.

22.3 These terms are available in the version at the top of this page at any time and can be saved and printed. Earlier versions are available on request.
